By-Law I
Membership
Paragraph 1.

Membership Dues. Membership dues shall be established by the Executive Council. A portion of the dues paid by Association members shall be reserved to fund IUN alumni programs authorized by the Board.

By-Law II
Meeting of Members
Paragraph 1.

Voting at Meetings. Every regular member will have the right at every meeting to one vote upon all matters submitted to a vote of members. Such vote may be cast in person at the meeting, by voice vote or by ballot. Voting may also be by mail.

Quorum. A quorum for any meeting is forty-five percent or nine members out of a possible twenty regular members . A majority vote of the quorum is sufficient to approve any action coming before the meeting. ( Amended: January 21, 2004 . )

By-Law III
IUN Alumni Board
Paragraph 1.

Method of Selection. The candidates elected at-large will be nominated and elected in the same manner as the officers of the Board, and they will share the same ballot. Board members representing degree-granting units will be nominated by the head of the unit. When the appointed members of the Board equal the at-large members of the Board, one additional at-large members will be added to the Board in the next annual election.

| Vacancy. In the event of an at-large vacancy on the Board, it will be filled by appointment by the Board for the remainder of the unexpired term. In the event of a vacancy on the Board representing a degree-granting unit, it will be filled by the head of the unit for the remainder of the unexpired term. |
| Quorum and Majority. Except as otherwise provided by the Constitution, all actions of the Board will be decided by a majority vote. A quorum will be a majority of the Board. In the absence of a quorum, no legal action can be taken unless such action is later ratified in writing by a sufficient number of the Board members to constitute a quorum. |
| Records of Meetings and Reports. The Secretary will keep a written record of its proceedings. |
| Removal from Office. Any officer or Board member may be removed from any office for cause by a two-thirds vote of the Board. No officer or Board member may be removed for any reason unless such person is notified in writing at least thirty days before a motion for removal is considered by the Board. |
| Attendance Requirement. Any Board member may be removed for failing to attend three consecutive scheduled Board meetings. |

By-Law IV
Officers
Paragraph 1.

Methods of Election. Candidates for officers shall be named by a nominating committee, which shall consist of the Past President, President, Vice President, the Executive Council Representative, and the Director of IUN Alumni Relations. Additional candidates may be nominated by any Board member at the meeting of the Board designated for the election of officers.

| Procedures for Election. The officers will be elected by a majority of the Board members attending the meeting of the Board designated for the election of officers. |
Vacancy. In the event an officer vacates a position, it will be filled by appointment by the Board for the remainder of the unexpired term.
